This month’s meeting will discuss what steps these companies should do now to be positioned to have the option of having multiple-avenues to pursue funding, so that they do not have to walk down the path like a one-trick pony – having limited options and being shut out from perhaps better avenues because of poor preparedness – both in legal structure, and administration / finance set up. Paul Gallo CEO of First US Advisors, Inc. has been providing financial and M&A services to Arizona businesses since he was awarded his CPA certificate in Arizona in 1982 (now long-since lapsed – hurray!). Paul works exclusively with business owners with a serious interest in buying or selling all or part of a business, or raising capital.
Paul has worked exclusively at the C-Level to position his clients for maximum access to investor funding. Since 1982 Paul has been the CEO of several private companies and CFO of two public companies (both high-tech – one manufacturing capital equipment for the semiconductor industry, the other developing software for Big-Pharma) – raising about $400,000,000 from investors and lenders for internal use as well as for clients.
Paul’s firms have built 25 commercial buildings in Arizona, resulting in his being the landlord to about 500 businesses. His firm has brokered about 450 businesses over the years and worked on about 60 merger & acquisition transactions, the vast majority of which were Small and Mid-sized businesses.
Richard Leiberman: Mr. Lieberman is Chair of the firm’s Corporate, Securities and Finance Department. He has extensive experience in a broad range of business law issues, including securities, corporate governance, mergers and acquisitions, finance and banking, employment, executive compensation, bankruptcy and corporate restructuring, litigation and legislation. Mr. Lieberman is listed in Best Lawyers in America in ten categories, including Securities, Mergers and Acquisitions, Private Equity, including the Lawyer of the Year in Corporate Governance and Compliance in 2016.
He has served as in-house General Counsel and outside counsel to a variety of companies, ranging in size from start-ups to Fortune 500 companies. Mr. Lieberman has counseled boards and senior management on issues pertinent to growing companies as well as those experiencing a wide variety of crisis situations.
Mr. Lieberman represents companies in securities and other regulatory compliance, capital market transactions, contract negotiations, company policy and plan development, and ethical compliance. He was General Counsel to an international commercial finance company. He served as counsel to the company in its finance and treasury operations, negotiated debt agreements and offerings in excess of $7 billion.
In addition to his law degree, Mr. Lieberman is a Certified Insolvency and Restructuring Advisor, awarded by the Association of Insolvency and Restructuring Advisors.
